Exemption for Raising Money from Existing Security Holders


On March 13, 2014 the BC Securities Commission and most other Canadian jurisdictions adopted a new prospectus exemption allowing issuers listed on the Toronto Stock Exchange, the TSX Venture Exchange, and the Canadian Securities Exchange to raise money by offering listed securities to their existing security holders, subject to certain conditions. In BC, the exemption is found in BC Instrument 45-534 - Exemption from prospectus requirement for certain trades to existing security holders.  

To help industry participants learn about the new exemption, BCSC staff organized and held an information session on April 9th in Vancouver. During the 60-minute presentation and Q&A session, BCSC staff detailed the exemption and its key conditions and explained how issuers can meet the requirements of the new exemption in practice.
